1. Agreement to Terms
By accessing or using CASHBoard ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all users of the Service, including businesses, employees, and administrators.
2. Description of Service
CASHBoard is a cloud-based Point of Sale (POS) system provided by ARCLOUD IT Solutions Inc.. The Service includes features for sales processing, inventory management, customer management, reporting, and other business operations tools. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. Account Registration and Security
3.1 Account Creation
To use CASHBoard, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws or regulations
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Transmit any viruses, malware, or other harmful code
- Use the Service to process fraudulent transactions
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or otherwise commercialize the Service without our written consent
- Use automated systems to access the Service without permission
5. Payment Terms
5.1 Subscription Fees
Access to CASHBoard requires payment of subscription fees as specified in your chosen plan. Fees are billed in advance on a monthly or annual basis, as applicable.
5.2 Payment Methods
We accept payment through credit cards, debit cards, and bank transfers. By providing payment information, you authorize us to charge your payment method for all fees due.
5.3 Refunds
Subscription fees are generally non-refundable. Refunds may be provided at our sole discretion in exceptional circumstances. If you cancel your subscription, you will continue to have access until the end of your current billing period.
6. Data and Content
6.1 Your Data
You retain all rights to your business data, including customer information, sales records, and inventory data. You grant us a license to use, store, and process your data solely to provide and improve the Service.
6.2 Data Backup
While we maintain regular backups, you are responsible for maintaining your own backups of critical business data. We are not liable for any data loss.
7. BIR Compliance
CASHBoard is designed to assist with BIR (Bureau of Internal Revenue) compliance requirements in the Philippines. However, you are solely responsible for ensuring compliance with all applicable tax laws and regulations. We provide tools for generating BIR-compliant receipts and reports, but you must verify that your use of the Service meets all legal requirements for your business.
8. Intellectual Property
The Service, including its software, design, logos, and content, is owned by ARCLOUD IT Solutions Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from Service unavailability.
10. Limitation of Liability
To the maximum extent permitted by law, ARCLOUD IT Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
11. Termination
11.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.
11.2 Termination by Us
We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees, or engage in fraudulent or illegal activities.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Philippines.
